We are pleased to offer you access to the Service (as defined below), subject to these terms and conditions (the "Terms of Service") and Wen Cheng CLC online's applicable Privacy Policy (the "Privacy Policy"). By accessing and using the Service, you express your consent, agreement, and understanding of the Terms of Service and the Privacy Policy. If you do not agree to the Terms of Service or the Privacy Policy, do not use the Service.

General Terms regarding the Terms of Service.
1. For your convenience, these terms are available in Spanish.
2. The Company owns and operates the Wen Cheng Online site. We offer you the opportunity to learn Mandarin Chinese through our online services and site functionality. The Service includes access to the Online Course which is administered by the Company.
3. The following is a brief summary of certain terms and conditions included in these Terms of Service. However, this summary is provided for your convenience only; therefore, you should read all of the Terms of Service before accepting them. You are granted the right to use the Service, subject to these Terms of Service. This right of use is limited to you personally, as an individual (not as a partnership, business, or corporate entity), and is nontransferable. In order to fully take advantage of the Service, you will be required to accept the end user license agreement and the terms and conditions for any related software and hardware. Your refusal to accept the terms of such agreements may limit your ability to fully use the Service. Notwithstanding any other provision contained herein, the Service will be available for your use upon registration of your information together with payment for the Module including any applicable renewals. The Service only works with your personal computer and compatible devices. To use the Service, you must register and open an Account at wencheng.com.mx. We reserve the right to perform periodic updates to the Service, with or without prior notice. You must be at least 18 years old to accept these Terms of Service; however, if you are under 18, your parent or legal guardian may accept them on your behalf. By using the Service, you authorize the collection, processing, and use of all information related to your use of the Service, which is collected and handled in accordance with the terms of our Privacy Policy. You understand that you may encounter content that you find objectionable. We reserve the right, at our discretion, to change these Terms of Service at any time, without prior notice. In the event of any material change, we will make commercially reasonable efforts to notify you and obtain your consent before implementing such changes. Wen Cheng CLC disclaims, to the fullest extent permitted by law, certain representations and warranties related to the Service, and limits its liability with respect thereto. Permission to Use the Service; Reservation of Rights.
1. By accepting these Terms of Service, you are granted a limited, non-exclusive, nontransferable, and non-sublicensable right to enter, access, and use the Service solely for personal, noncommercial use.
2. All rights not expressly granted to you in these Terms of Service are reserved by the Company and its licensors, as applicable.
3. You agree that this permission is for your personal, noncommercial use and that no one other than you will use the Service. You do not have the right to copy or reproduce in whole or in part any portion of the Service, including, without limitation, the content of Wen Cheng CLC.
4. You understand and acknowledge that, in all circumstances, your rights with respect to the Service will be limited by applicable copyright or intellectual property laws and these Terms of Service.
Description of the Service.
1. General
  1. Your Account and Registration Information.
    You may browse, preview, and search within the Service without opening a Wen Cheng CLC Account or providing registration information. However, for any other use of the Service and access to Wen Cheng CLC content, you must open an account and provide registration information to the Company.
  2. Access to Wen Cheng CLC Content.
    Ownership of Wen Cheng CLC content is defined further below in Section 8 (Intellectual Property) of these Terms of Service. You may access Wen Cheng CLC content as many times as you wish, provided you have subscribed to the Service. You agree not to copy, reproduce, distribute, or transfer such content to any other medium or device, nor to distribute or transfer it to any other person or third party. Recording and transfer functions of Wen Cheng CLC Content are provided solely for your convenience and not for piracy.
  3. Additional software and hardware terms.
    Please note that there may be separate end user license agreements and terms of service that you must accept for the hardware and software you use in connection with the Service, or that may interact with the Service. Your refusal to accept the terms of such agreements would limit your ability to fully use the Service. In addition, the Service only works with compatible devices. Promotions The Company, other entities, and certain third parties may, from time to time, place advertisements or present offers and promotional materials on or through the Service.

Your participation in any promotion or offer is subject to the applicable rules related to the promotion. Your relationships with other entities or third parties, as well as your participation in third-party promotions or offers advertised or appearing on the Service, are solely between you and that third party. Please note that you must be at least 13 years old to participate in any promotion or offer that is connected or in any way related to the Service. YOU AGREE THAT THE COMPANY WILL NOT BE LIABLE FOR ANY DAMAGE OR LOSS ARISING FROM SUCH RELATIONSHIPS OR FROM THE PRESENCE OF SUCH ADVERTISERS ON THE SERVICE.
Restrictions
Your use of the Service is subject to the following restrictions:
1. Age requirement.
  You must be at least 18 years old to agree to and accept these Terms of Service on your own behalf. If you are under 18, your parent or legal guardian must accept these Terms of Service and register for the Service on your behalf. In accordance with the Children's Online Privacy Protection Act (COPPA) and its occasional amendments, if you are under 13 years old, you are requested not to provide any information to the Company, whether through use of the Service, participation in any promotions, contests, or sweepstakes related to the Service, or through any other activity.
2. Prohibited conduct.
  You will not use the Service to transmit, display, perform, or otherwise make available messages, content, or materials that (i) are illegal, obscene, threatening, unsolicited mass messages or "spam", defamatory, invasive of privacy, or (ii) infringe or violate copyrights, trademarks, patents, trade secrets and other intellectual property rights, privacy or publicity rights, communications regulations or statutes, or any other laws, including, without limitation, laws regarding defamation, harassment, obscenity, and pornography; (iii) constitute political campaigns or solicitations for sales or marketing or contain computer viruses or other computer code intended to interfere with the functionality of computer systems; or (iv) in any way harm minors. You agree not to interrupt or attempt to interrupt the operation of the Service in any way. During the Course, students are expected to behave appropriately and respectfully, maintaining a high standard of education and professional development toward others. Any violation of the foregoing will be subject to review and appropriate actions the Company decides to take, in its sole discretion, including the right to Terminate the Service as provided. In addition, you may not use a false email address or otherwise deceive other members as to your identity or the origin of a message or content.
3. Restriction on Service-related use.
  The Service includes security components, so special rules and policies apply. You must not attempt (or assist others in attempting) to circumvent, reverse engineer, decrypt, decompile, disassemble, or otherwise modify, alter, or interfere with any aspect of the Service. You may not distribute, exchange, modify, sell or resell, or transmit to any other person any part of the Service, including, without limitation, any text, image, or audio, for any business, commercial, or public purpose. You agree not to copy, sell, distribute, or otherwise transfer Wen Cheng CLC Content except as expressly permitted herein.
4. Restriction on Account-related use of Wen Cheng CLC.
  You may only open a Wen Cheng CLC Online account for yourself, and not for any other person, subject to the provisions of the above section titled "Age Requirement." You agree that you will not allow others to use your Registration Information and/or Wen Cheng CLC Account and agree that you are solely responsible for maintaining the confidentiality and security of them. You agree to notify the Company immediately of any unauthorized use of your password and/or Wen Cheng CLC Online Account by calling the telephone number listed on the website or, if you are a student, from the learning platform via the "Contact Us" link. If you use or open an account on the Service on behalf of a company, entity, or organization (collectively an "Subscriber Organization"), then you represent and warrant that you are an authorized representative of such Subscriber Organization with authority to bind such organization, which must comply with and abide by these Terms of Service, and you accept them on behalf of such Subscriber Organization.
5. Restriction on use related to Wen Cheng CLC Online Content.
  Except as expressly permitted herein, the rights granted to you under this Agreement do not include any of the following: (a) rights to reproduce or use Wen Cheng CLC Online Content for promotional purposes, (b) rights to enter into agreements with any broadcast system that generates revenue (terrestrial, satellite, cable and/or other distribution channels), (c) rights to distribute or redistribute Wen Cheng CLC Online Content in streaming applications (via the Internet, intranets and/or other networks), (d) rights to distribute Wen Cheng CLC Online Content to others in other content distribution systems (paid audio apps or audio-on-demand, etc.) or on physical media (compact discs, digital versatile discs, semiconductor chips, hard drives, memory cards and the like), or (e) rights for commercial use, sale, resale, reproduction, distribution, or promotional use of Wen Cheng CLC Online Content. If you are in possession or control of Wen Cheng CLC Online Content, it is your responsibility not to lose, destroy, or damage such content.
Charges and Billing.
1. Payment agreement.
  All users of the Service must first accept these Terms of Service and complete a payment authorization and subscribe to the Terms and Conditions of Purchase ("Purchase Terms"). You agree to pay for all Wen Cheng CLC Online Content.
2. Refund policy.
  After purchasing the Course, payments or charges made are nonrefundable.
3. Termination.
  The Company reserves the right to terminate your Wen Cheng CLC Online Account and/or your access to the Service if you breach the Terms of Service. If your membership and subscription(s) to the Service are terminated, fees and charges will not be refundable.
4. Bank and credit card transactions.
  During the registration process you will be asked to provide information about your credit card or bank account (your "payment instrument"). As a user of the Service, you agree that charges may be made to your credit card or debited from your bank account for applicable fees, as well as any sales tax and any other charges incurred in connection with use of the Service. Except as otherwise provided herein, no fee or charge is refundable. If you use your credit card to make purchases on the Service, we may, at our discretion, post charges to your credit card individually or aggregate your charges with other purchases you make on the Service. In this regard, you agree to pay all amounts incurred under the Purchase Terms, and to maintain sufficient funds on your payment instrument to satisfy any amounts you may owe the Company. Additionally, you are responsible for maintaining the confidentiality of your Wen Cheng CLC Online Account and will be responsible for any charges incurred by any other person through your Wen Cheng CLC Online account. All charges will be billed to the payment instrument you designate the first time you make a purchase or incur a charge on the Service. Any bank fees or charges reflected on your payment instrument by your financial or credit institution are your responsibility. If you change your billing information, you must update such information by contacting the Company administrator from the learning platform via the "Contact Us" link. By providing your credit card, bank account, or other payment method information to the Company, you acknowledge and agree that we may retain your payment instrument information until you close your Wen Cheng CLC Online Account and, as set forth in the Privacy Policy, unless you request Wen Cheng CLC Online Customer Service to delete your credit card and/or bank account information, in which case it will be deleted as provided in the Privacy Policy. By providing your payment instrument information to the Company, you agree that you will consult the terms and conditions imposed by the issuer of your payment instrument regarding notification requirements and limitations of liability applicable to you in the event of loss, theft, or unauthorized use of your payment instrument. You agree that you, and not Wen Cheng CLC Online, will be solely responsible for payment of all amounts billed to your card by unauthorized third parties. You agree that you will not provide information about any payment instrument that was not issued in your name.
5. Taxes.
  Purchases on the Service may include sales tax or value-added tax (where applicable) and such tax will be based on the best available information about your address. In such cases, the tax rate in effect at the time purchases are made on the Service will apply. If the applicable sales tax rate changes before completing the corresponding purchases, the new tax rate in effect at the time of purchase on the Service will apply. Other limitations and disclaimers on products and services may apply. You will be solely responsible for paying all such taxes.
6. Right to change prices.
  All prices related to the Service are subject to change by the Company at any time, without prior notice and without liability to you. The Company does not offer price protection or refunds in the event of a price drop or promotional offer.
Special Notices.
As a user of the Service, please note the following:
1. Privacy
  By registering for the Service, you give your consent to the collection and processing of all information related to your use of the Service, including Registration Information. The Company collects and handles this information in accordance with the terms of the Privacy Policy, which is expressly incorporated into these Terms of Service by reference. By accepting these Terms of Service, you also accept the Privacy Policy which is available on the Company's website.
2. Accuracy of information.
  You represent and warrant that all information (including Registration Information and responses to polls and surveys) you provide to the Company is accurate, complete, and current, and you agree to update such information as necessary. You also acknowledge that any information provided by you to the Company will not violate any law or regulation, nor infringe the rights of third parties.
3. Certification of residence and capacity to enter into contracts.
  By opening a Wen Cheng CLC Online Account, you represent and warrant to the Company that you reside in the territory you have indicated in your profile and that you have the capacity to enter into contracts in accordance with the laws of your jurisdiction.
4. Nature of Content.
  You understand that by using the Service and accessing Wen Cheng CLC Online Content, you may encounter materials you consider explicit, offensive, or otherwise objectionable. The Company may include, if available, information related to ratings, content type, and descriptions, if the respective owners of Wen Cheng CLC Online Content provide such information. However, the Company is not responsible for the accuracy of that type of information.   The Company is not responsible for the content or availability of RSS feeds or websites related to the Service, nor for third-party websites that link to or from the Service. Your access to RSS feeds and links to other websites is entirely at your own risk. All RSS feeds and links are provided for your convenience only and should not be construed as an endorsement by the site owner/sponsor. The Company disclaims any warranty, express or implied, as to the accuracy, quality, or any other aspect of any material or information contained in such RSS feeds and websites.
7. The Company's right to change these Terms of Service.
  The Company reserves the right, at its discretion, to change, modify, add, or remove parts of these Terms of Service at any time, without prior notice to you. All changes will take effect immediately. In the event of any material change, we will make commercially reasonable efforts to notify you and obtain your consent before implementing such changes. We recommend that you review these Terms of Service periodically to see if changes have been posted. Your continued use of the Service after such changes have been posted constitutes acceptance of them.
8. The Company's right to make changes to the Service.
  The Company may add, change, terminate, remove, or suspend any material incorporated into the Service, including features, prices, and product specifications described or reviewed on the Service, temporarily or permanently, at any time, without prior notice and without liability. In addition, the Company and/or the owners of Wen Cheng CLC Online Content may, from time to time, remove Wen Cheng CLC Online Content from the Service without prior notice, and the Company may at any time lose the right to make certain Wen Cheng CLC Online Content available. In such case, you will no longer be able to obtain or view certain Wen Cheng CLC content.
Intellectual Property.
1. Trade secrets and proprietary materials.
  The Service contains and/or incorporates trade secrets, patented inventions (and/or patents pending) and/or other proprietary materials and intellectual property of the Company and/or its licensors. All right, title, and interest in the Service, including without limitation Wen Cheng CLC Online content and any copies related to the Service and Wen Cheng CLC Online content, remain the property of the Company and its licensors, as applicable. You agree to keep confidential any information contained in the Service that is not public domain, and not to disclose such information to third parties without the Company's prior written approval. Students are not authorized to attempt to reconfigure, decompile, or reverse engineer the Wen Cheng CLC Online website, the Service, and/or Wen Cheng CLC Online Content.
2. Copyrights.
  The Wen Cheng CLC Content and other works of authorship found on or forming part of the Service (collectively, the "Content") are protected by applicable copyright laws and international copyright treaties, as well as other intellectual property laws and treaties.   You may not use any of the trademarks found within the Service except as specified herein and in accordance with applicable law. You may not copy, display, or use any trademarks without the prior written permission of the owner. Any unauthorized use may violate trademark laws, privacy and publicity laws, as well as civil or criminal laws. The trademarks listed below are registered trademarks of the Company, its direct or indirect parent companies, and/or its Affiliates, licensors, or third-party owners. Nothing contained in the Service shall be construed as granting by implication or otherwise any license or right to use any trademark. Please note that the following list of trademarks is updated periodically. Therefore, neither this list nor its updates include all trademarks.
Standard Terms.
1. Remedies
  You agree that any unauthorized use of the Service and any technology contained therein could cause irreparable harm to the Company for which monetary damages would not be sufficient. Therefore, in such case, the Company will be entitled, in addition to other remedies available at law and in equity, to immediate injunctive relief against you to prevent any unauthorized use. Nothing in this Section or elsewhere in these Terms of Service shall be construed as limiting the remedies available to the Company under any independent legal authority. You understand and agree that cancellation of your Wen Cheng CLC Online account is your sole right and remedy with respect to any dispute with the Company.
2. Indemnification
  You agree to defend, indemnify, and hold harmless the Company from and against any and all claims, losses, damages, liabilities, deficiencies, judgments, liens, fines, costs, and other expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Service, or any breach by you of these Terms of Service, and agree to reimburse the Company, upon request, for any loss, cost, or expense incurred as a result thereof.
3. Term and termination.
  The term of these Terms of Service will remain in effect until terminated as described herein. These Terms of Service and your rights to access, download, and use the Service are subject to immediate termination, without prior notice, (a) if you breach (or the Company reasonably suspects you have breached) any provision of these Terms of Service, or (b) upon the Company's discontinuation of distribution or support of the Service. If such immediate termination is expressly prohibited by applicable law, then such termination will occur after notice of any such breaches. Upon termination, you must cease using the Service in its entirety. If the Company terminates these Terms of Service, or suspends your Wen Cheng CLC Online Account for any of the reasons set forth in these Terms of Service, the Company will have no obligation or liability to you and will not refund any amounts you have previously paid.
4. LEGAL NOTICES; LIMITATION OF LIABILITY.

EXCEPT AS EXPRESSLY SET FORTH HEREIN, THE SERVICE IS PROVIDED "AS IS" AND WITHOUT WARRANTY OF ANY KIND BY THE COMPANY OR ITS AFFILIATES, AS APPLICABLE, AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE. EXCEPT AS EXPRESSLY SET FORTH HEREIN, THE COMPANY MAKES NO WARRANTY OR REPRESENTATION REGARDING THE USE OR THE RESULTS OF THE USE OF THE SERVICE WITH RESPECT TO PERFORMANCE, ACCURACY, RELIABILITY, SECURITY, CAPACITY, TIMELINESS OR OTHER ASPECTS. YOU WILL NOT HOLD THE COMPANY OR ITS AFFILIATES LIABLE FOR ANY DAMAGE ARISING FROM YOUR ACCESS (INCLUDING ANY SOFTWARE OR SYSTEMS YOU USE TO ACCESS) TO THE SERVICE, INCLUDING, WITHOUT LIMITATION, DAMAGE TO ANY COMPUTER, SOFTWARE OR SYSTEMS, OR REGISTERED PORTABLE DEVICES YOU USE TO ACCESS IT. NO WARRANTY IS MADE THAT THE OPERATION OF THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. NO ORAL OR WRITTEN INFORMATION OR ADVICE PROVIDED BY ANY PERSON SHALL CONSTITUTE ANY WARRANTY WITH RESPECT TO THE COMPANY OR ITS AFFILIATES.
  2. THE COMPANY DOES NOT WARRANT THAT THE SERVICE IS COMPATIBLE WITH ANY PERSONAL COMPUTER, CD OR DVD PLAYER, CD OR DVD BURNER, OR REGISTERED PORTABLE DEVICES. YOU ARE SOLELY RESPONSIBLE FOR ENSURING THAT YOUR SYSTEMS WORK PROPERLY WITH THE SERVICE.
  3. THE SERVICE MAY CONTAIN VIEWS, ADVICE, STATEMENTS, AND OPINIONS THAT REPRESENT THE VIEWS, ADVICE, OPINIONS, AND STATEMENTS OF THE INDIVIDUAL AUTHORS AND NOT NECESSARILY THOSE OF ANY AFFILIATED COMPANY.
